1. Definitions

• “We”, “Us”, “Our” – refer to BulkSMSNepal, operated by Varnamala Corp Private Limited.
• “Client”, “You”, “User” – refers to any individual or organization using our services.
• “Platform” – refers to our web-based and API-enabled SMS messaging system.

2. Acceptance of Term

By registering or using our services, you confirm that you:

• Are authorized to act on behalf of the entity you represent.
• Will comply with these Terms and all applicable local laws (including but not limited to NTA guidelines and Nepalese IT law).

3. Use of Service

You agree:

• Not to use our services to send spam, phishing, abusive, illegal, misleading, or unsolicited promotional messages.
• To obtain valid consent from message recipients where required.
• That you are solely responsible for the content and recipients of your messages.

We reserve the right to suspend or terminate your account without notice if these terms are violated.

4. Message Content and Compliance

• All message content must comply with local regulations and must not promote violence, discrimination, adult content, gambling, or political propaganda without prior approval.
• You must not send messages impersonating government authorities or financial institutions.
  

 In case of violation, message logs and account data may be shared with regulatory or legal authorities.

5. Account Security

• You are responsible for maintaining the confidentiality of your account credentials.
• Notify us immediately in case of unauthorized access or suspected misuse.

6. Fees and Payment

• Pricing is as per the plan selected and communicated to you. All rates are subject to change with notice.
• SMS is charged per submission.
• Payments are due in advance unless otherwise agreed in writing.
• All fees are non-refundable and non transferable unless a billing error on our side is identified.

7. Delivery and Availability

• While we aim for 99% uptime, we do not guarantee message delivery times or network availability.
  
  
• Delivery may be impacted by carrier restrictions, DND filters, or technical issues.

8. Data Privacy and Confidentiality

• We handle your data in accordance with our Privacy Policy and applicable data protection laws.

   

• Message content, sender IDs, and logs may be reviewed for legal or quality assurance purposes.

   

9. Suspension and Termination

We may suspend or permanently terminate your access to the service if:

• You breach any part of these Terms.

   

• Required by law or regulatory order.

   

• Your usage harms our platform or reputation.

   

10. Limited License

• You are given a personal, non-transferable license to use the site with your own account, as long as you don’t share access or misuse the platform. This license ends if you violate the terms, but the company’s rights remain even after termination.

11. Limitation of Liability

We are not liable for:

• Losses due to message non-delivery, delay, or misrouting.

   

• Indirect, incidental, or consequential damages.
  Our total liability in any case will not exceed the amount paid by you in the last 30 days.

   

12. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of the service after such changes implies acceptance.

13. Governing Law

These Terms shall be governed by the laws of Nepal. Disputes shall be resolved in the courts of Kathmandu, Nepal.
